AvailCal Terms of Use

1. Who we are

AvailCal is a calendar and availability tool operated by Wayfinding Software Solutions LLC ("Wayfinding", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of AvailCal, including our web application at https://use.availcal.app and any related services (collectively, the "Service").

2. Accepting these Terms

By creating an account, connecting an external calendar or other app, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

3. Eligibility

You must be at least 18 years old and able to form a binding contract under the laws that apply to you to use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.

4. Your AvailCal account

You are responsible for maintaining the security of your account, including your login credentials and any devices used to access the Service. You must promptly notify us if you believe your account has been compromised. You are responsible for all activity that occurs under your account.

5. Connected apps and calendar access

To provide the Service, we allow you to connect third-party services such as Google, Microsoft, Calendly, and other providers (collectively, "Connected Apps") using OAuth or similar mechanisms. When you connect a provider, you authorize us to access that provider on your behalf.

Depending on the provider, this access can include the ability to read and manage calendar data, including events, availability, and related metadata, and to access this information while you are offline so that we can keep your availability up to date.

In practice, AvailCal focuses on free and busy information and other limited metadata needed to compute and display your availability. We typically store OAuth tokens and minimal related metadata, not full copies of all your events. Some data may be processed temporarily in memory or in encrypted caches so we can render your views quickly and reliably.

You can disconnect Connected Apps at any time from inside the Service or from the third party's own settings (for example, your Google or Microsoft account security page). However, disconnecting a Connected App may limit or disable parts of the Service.

6. Privacy

Our handling of personal data, including data from Connected Apps, is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree that we can process your information as described in the Privacy Policy. You can read it at https://www.availcal.app/privacy-policy.

7. Acceptable use

You agree not to misuse the Service. For example, you will not:

  1. Use the Service in any way that violates applicable law, including privacy, data protection, and anti-spam laws.
  2. Attempt to access or interfere with other users' data or accounts.
  3. Use the Service to store or transmit malicious code, or to attack or probe our infrastructure or any third-party systems.
  4. Reverse engineer, decompile, or attempt to derive the source code of the Service, except where such restrictions are prohibited by law.
  5. Use the Service to build a competing product or to benchmark in a misleading or deceptive way.

8. Third-party services

The Service depends on third-party services such as Connected Apps (for example, Google Calendar, Microsoft Outlook, Calendly), analytics and monitoring tools (such as FullStory, Intercom, Umami, and log or infrastructure providers), hosting providers, and payment processors. We do not control these third parties and are not responsible for their content, terms, or policies. Your use of any third-party service is governed by its own terms and policies.

9. Beta features and changes to the Service

From time to time we may offer new or experimental features, sometimes labeled as "beta", "preview", or similar. These features may change, break, or be removed at any time. We may update or modify the Service at any time in order to improve performance, add or remove features, or address security or legal issues.

10. Fees and payment

We may offer both free and paid tiers of the Service. Where fees apply, they will be described in a separate pricing page or order form. You agree to pay any applicable fees and taxes and to keep your billing information accurate and up to date. Unless stated otherwise, fees are non-refundable.

11. Intellectual property

We and our licensors own all rights, title, and interest in and to the Service and its content, including software, designs, text, and logos, except for content that belongs to you or to third parties. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your own internal business or personal purposes, subject to these Terms.

You retain all rights to your own data, including calendar data and other information you or your Connected Apps provide. These Terms do not give us ownership of your data.

12. Feedback

If you provide feedback, ideas, or suggestions about the Service, you grant us a non-exclusive, worldwide, royalty-free license to use that feedback to improve and promote the Service without any obligation to you.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that it will meet your specific needs.

14. Availability and calendar accuracy

AvailCal computes availability based on the calendar data that your Connected Apps provide to us. We do not control the accuracy, completeness, or timeliness of the information those providers supply. Availability shown in the Service may not always reflect your real availability, including in situations involving delayed syncs, provider outages, revoked permissions, rate limits, or incorrect or incomplete data from Connected Apps.

You are responsible for reviewing your calendar events and ensuring the accuracy of any availability or scheduling decisions you make using the Service. AvailCal does not guarantee that the availability displayed in the Service will always be correct, up to date, or free from conflict with events in your connected calendars.

15. Limitation of liability

To the maximum extent permitted by law, we and our owners, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or for any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service.

To the extent we are liable to you despite the above, our total aggregate liability arising out of or relating to the Service or these Terms will be limited to the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (US$100).

16. Indemnification

You agree to indemnify and hold harmless Wayfinding, its owners, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

17. Term and termination

These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, or remove or disable your account, if we believe you have violated these Terms, if we are required to do so by law, or if we discontinue the Service.

Upon termination, your right to use the Service will end. Provisions that by their nature should survive termination will continue to apply, including ownership provisions, warranty disclaimers, limitations of liability, and indemnity.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If changes are material, we will take reasonable steps to notify you, for example by email or by a notice in the Service. Your continued use of the Service after the updated Terms become effective means you accept the changes. If you do not agree, you must stop using the Service.

19. Governing law

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict of law rules. Any disputes arising out of or relating to the Service or these Terms will be resolved in the state or federal courts located in North Carolina, and you consent to their jurisdiction and venue.
