AvailCal Terms of Use

1. Who we are
AvailCal is a calendar and availability tool operated by Wayfinding Software Solutions LLC ("Wayfinding", "we", "us", or "our"), a North Carolina limited liability company. These Terms of Use ("Terms") govern your access to and use of AvailCal, including our web application at https://use.availcal.app, our mobile apps for iOS and Android (the "Apps"), and any related services (collectively, the "Service").

2. Accepting these Terms
By creating an account, connecting an external calendar or other app, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
3. Eligibility
You must be at least 18 years old and able to form a binding contract under the laws that apply to you to use the Service. The Service is not directed to anyone under 18. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.
4. Your AvailCal account
You are responsible for maintaining the security of your account, including your login credentials and any devices used to access the Service. You must promptly notify us if you believe your account has been compromised. You are responsible for all activity that occurs under your account.
5. Connected apps and calendar access
To provide the Service, we allow you to connect third-party services such as Google, Microsoft, Apple iCloud, Calendly, Zoom, and other providers (collectively, "Connected Apps"). Most connections use OAuth or similar mechanisms; iCloud connections use an app-specific password that you create in your Apple account and give to us, which we store encrypted. When you connect a provider, you authorize us to access that provider on your behalf.
Depending on the provider, this access can include the ability to read and manage calendar data, including events, availability, and related metadata, to create and update meetings in your Zoom account for events you schedule through the Service, and to access this information while you are offline so that we can keep your availability up to date.
In practice, AvailCal focuses on free and busy information and other limited metadata needed to compute and display your availability. We typically store OAuth tokens and minimal related metadata, not full copies of all your events. Some data may be processed temporarily in memory or in encrypted caches so we can render your views quickly and reliably.
You can disconnect Connected Apps at any time from inside the Service or from the third party's own settings (for example, your Google or Microsoft account security page). However, disconnecting a Connected App may limit or disable parts of the Service.
6. Privacy
Our handling of personal data, including data from Connected Apps, is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree that we can process your information as described in the Privacy Policy. You can read it at https://www.availcal.app/privacy-policy.
7. Acceptable use
You agree not to misuse the Service. For example, you will not:
- Use the Service in any way that violates applicable law, including privacy, data protection, and anti-spam laws.
- Attempt to access or interfere with other users' data or accounts.
- Use the Service to store or transmit malicious code, or to attack or probe our infrastructure or any third-party systems.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except where such restrictions are prohibited by law.
- Use the Service to build a competing product or to benchmark in a misleading or deceptive way.
- Upload or share content — including profile images and comments — that is unlawful, infringing, harassing, hateful, sexually explicit, or otherwise objectionable.
We reserve the right to remove any content that violates these rules and to suspend or terminate accounts responsible for it. To report content or conduct that you believe violates these rules, email brett@availcal.app.
8. Sharing, collaborations, and your content
Some features of the Service show your information to other people. When you share your calendar view with someone, they can see the availability you chose to share. When you take part in a collaboration on a shared event, the other attendees of that event can see the details of that event — including the attendee list and each attendee's response — as read from the connected calendar of one of its attendees (see Section 5 of our Privacy Policy), along with your display name, profile image, comments, and reactions, and the email address under which you are an attendee of the event. Attendees may receive email notifications when someone comments; attendees who do not have an AvailCal account can take part as guests through the personal link in those notifications.
You are responsible for the content you post. By posting content in a collaboration, you grant us the limited license needed to store it, display it to the other attendees, and deliver notifications about it. You may delete your account at any time; comments you posted are then shown as from a deleted user, with their content removed, so that the rest of the conversation remains readable to the other attendees.
9. Third-party services
The Service depends on third-party services such as Connected Apps (for example, Google Calendar, Microsoft Outlook, Apple iCloud, Calendly, Zoom), hosting and infrastructure providers, payment processors and app stores (Stripe, the Apple App Store, and Google Play), email delivery, analytics and monitoring tools (such as FullStory, Intercom, Umami, and log providers), bot protection, and AI and location services from Google. We do not control these third parties and are not responsible for their content, terms, or policies. Your use of any third-party service is governed by its own terms and policies.
10. Beta features and changes to the Service
From time to time we may offer new or experimental features, sometimes labeled as "beta", "preview", or similar. These features may change, break, or be removed at any time. We may update or modify the Service at any time in order to improve performance, add or remove features, or address security or legal issues.
11. Fees, subscriptions, and payment
We offer a free tier and a paid Premium subscription. Premium is an automatically renewing subscription; the price, billing period, and any free trial are shown to you before you purchase. Unless you cancel before the end of the current period, your subscription renews for another period at the then-current price. You agree to pay any applicable fees and taxes and to keep your billing information accurate and up to date. If we change the price of a renewing subscription, we will give you notice before the change applies to you.
Purchases through Stripe (on the web) are billed by us through Stripe. You can manage or cancel these subscriptions from the Billing page in the Service. Except where required by law, fees are non-refundable.
Purchases through the Apple App Store or Google Play are billed by Apple or Google under their own terms. They are managed, canceled, and refunded through your App Store or Google Play account; we cannot refund them on your behalf. If you delete your AvailCal account, we cancel a subscription purchased through Google Play for you; a subscription purchased through the Apple App Store is not canceled by account deletion and must be canceled by you through Apple.
12. Mobile apps
We grant you a limited, non-exclusive, non-transferable license to install and use the Apps on devices that you own or control, subject to these Terms and to the usage rules of the app store you obtained them from. These Terms are between you and Wayfinding only; Apple and Google are not parties to them, have no obligation to provide maintenance or support for the Apps, and are not responsible for addressing any claims relating to the Apps or your use of them. Apple and its subsidiaries, and Google, are third-party beneficiaries of these Terms with respect to the Apps and may enforce them against you.
13. Intellectual property
We and our licensors own all rights, title, and interest in and to the Service and its content, including software, designs, text, and logos, except for content that belongs to you or to third parties. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your own internal business or personal purposes, subject to these Terms.
You retain all rights to your own data, including calendar data, the content you post, and other information you or your Connected Apps provide. These Terms do not give us ownership of your data.
14. Feedback
If you provide feedback, ideas, or suggestions about the Service, you grant us a non-exclusive, worldwide, royalty-free license to use that feedback to improve and promote the Service without any obligation to you.
15. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that it will meet your specific needs.
16. Availability and calendar accuracy
AvailCal computes availability based on the calendar data that your Connected Apps provide to us. We do not control the accuracy, completeness, or timeliness of the information those providers supply. Availability shown in the Service may not always reflect your real availability, including in situations involving delayed syncs, provider outages, revoked permissions, rate limits, or incorrect or incomplete data from Connected Apps.
You are responsible for reviewing your calendar events and ensuring the accuracy of any availability or scheduling decisions you make using the Service. AvailCal does not guarantee that the availability displayed in the Service will always be correct, up to date, or free from conflict with events in your connected calendars.
17. Limitation of liability
To the maximum extent permitted by law, we and our owners, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or for any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service.
To the extent we are liable to you despite the above, our total aggregate liability arising out of or relating to the Service or these Terms will be limited to the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (US$100).
18. Indemnification
You agree to indemnify and hold harmless Wayfinding, its owners, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
19. Term, termination, and account deletion
These Terms remain in effect while you use the Service. You may stop using the Service at any time and delete your account from Settings → General. Deletion takes effect immediately and cannot be undone: your account, connections, calendar data, contacts, locations, and shares are removed, and your comments are shown as from a deleted user with their content removed. Subscriptions purchased through Stripe or Google Play are canceled for you; a subscription purchased through the Apple App Store must be canceled by you through Apple.
We may suspend or terminate your access to the Service, or remove or disable your account, if we believe you have violated these Terms, if we are required to do so by law, or if we discontinue the Service.
Upon termination, your right to use the Service will end. Provisions that by their nature should survive termination will continue to apply, including ownership provisions, warranty disclaimers, limitations of liability, and indemnity.
20. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If changes are material, we will take reasonable steps to notify you, for example by email or by a notice in the Service. Your continued use of the Service after the updated Terms become effective means you accept the changes. If you do not agree, you must stop using the Service.
21. Governing law
These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict of law rules. Any disputes arising out of or relating to the Service or these Terms will be resolved in the state or federal courts located in North Carolina, and you consent to their jurisdiction and venue.
